Creator Publishing Agreement

This Creator Publishing Agreement (“Agreement”) governs your use of ilmVault's creator platform — the tools, dashboard, and distribution infrastructure that allow authors and publishers (“Creators”, “you”) to publish, sell, and distribute digital books to ilmVault readers.

ilmVault is operated by ILMMIND PTY LTD (ACN 605 203 772) (“ilmMind”, “we”, “us”, “our”).

By creating a creator account, submitting books for publication, or accessing the Creator Portal, you agree to be bound by this Agreement in addition to ilmVault's general Terms of Service and Privacy Policy. Where this Agreement and the general Terms of Service conflict on a creator-specific matter, this Agreement governs. If you do not agree, do not use the creator platform.

The short version: You keep full ownership of everything you publish. You set your price; we take a published platform commission on sales and pay you monthly via Stripe Connect. You are responsible for ensuring your content is lawful, original, and properly rights-cleared, and you cover us if a third party claims otherwise. Buyers keep access to books they've already purchased even if you later remove them. We can review, reject, remove, or de-list content, and suspend accounts, that violate these terms.

To create a creator account you must:

• Be at least 18 years of age (or the age of majority in your jurisdiction, whichever is higher).
• Provide accurate and complete information about yourself or your organisation during sign-up.
• Have the legal authority to enter into this Agreement — either on your own behalf or on behalf of the entity you represent.
• Maintain valid payment information so that revenue payouts can be processed.
• Comply with all applicable local, national, and international laws.

You are responsible for maintaining the confidentiality of your creator account credentials. You must notify us immediately at [email protected] if you suspect any unauthorised access to your account.

You retain ownership

You retain full copyright and all intellectual property rights in the books and materials you publish on ilmVault. This Agreement does not transfer any ownership rights to ilmMind.

Non-exclusive

The rights you grant under this Agreement are non-exclusive. You remain free to publish, sell, or license your content through any other channel, except where you have separately agreed otherwise in writing with us.

Licence you grant to ilmMind

By publishing content on ilmVault, you grant ilmMind a non-exclusive, worldwide, royalty-free licence to:

• Store, host, and serve your content to readers who have legitimately purchased or accessed it.
• Display your book cover, title, author name, description, and sample pages in the ilmVault Store and in promotional materials.
• Process your book content through ilmVault's AI systems (including chunking, embedding and retrieval) to power reading features for purchasers of your book.
• Create excerpts or previews of up to 10% of a book's content for store listings and promotional purposes.
• Reproduce and distribute your book to readers who have purchased it, in the formats supported by the platform (currently EPUB and PDF).

This licence is limited to the purposes described above. ilmMind will not sublicense your content to third parties for their own use, and will not use your published content to train foundation AI models. The licence continues for as long as needed to serve readers who have already purchased your book, even after you remove it from sale (see Suspension & termination and Reader licence).

Reader licence

When a reader purchases your book, they receive a personal, non-transferable, non-exclusive licence to access and read that book on ilmVault for their own personal use, including through ilmVault's reading features. This reader licence is perpetual for that purchaser and survives your de-listing of the book or closure of your creator account. You grant this reader licence through the platform, and you authorise ilmMind to administer it on your behalf.

Warranties you make

By publishing content you represent and warrant that:

• You are the original author or have obtained all necessary rights and permissions to publish and sell the content on ilmVault.
• The content does not infringe any third party's copyright, trademark, privacy, publicity, or other intellectual property or proprietary rights.
• You have obtained any necessary releases or permissions for any real persons, organisations, or proprietary material depicted.
• Publication on ilmVault does not violate any existing exclusivity agreement or publishing contract you may have.
• The content complies with the Content guidelines below and with all applicable laws.

ilmVault is a reading platform for curious minds. The following content is strictly prohibited:

• Content that depicts, promotes, or facilitates child sexual abuse material (CSAM) in any form.
• Content that incites violence, hatred, or discrimination against any individual or group based on protected characteristics.
• Malware, deceptive content, or content designed to deceive readers about its nature or authorship.
• Content that violates any applicable law, including defamatory, fraudulent, or obscene material.
• Plagiarised content or content that infringes third-party intellectual property rights.
• AI-generated content that is misrepresented as human-authored. Where content is materially AI-generated, you must disclose this in accordance with our publishing guidelines.

We review submissions before publication. We reserve the right to reject, remove, or de-list any content at our discretion, with or without prior notice, if we determine it violates these guidelines or is otherwise harmful to readers or to ilmVault's reputation. Review does not constitute endorsement, and approval does not transfer responsibility for the content to us.

You set the list price for each book within any minimum and maximum bounds published on the Creator Pricing page, and in the currencies and price points the platform supports. We may display prices in local currencies and apply rounding or conversion.

We may run platform-wide promotions, discounts, or bundles. We will not reduce your list price below the bounds you have set without your participation in a promotion you have opted into or otherwise agreed to, except where required to correct an error or comply with law. Commission is calculated on the actual sale price received.

Commission structure

ilmMind takes a platform commission on all sales processed through the Store. The current commission rates are published on the Creator Pricing page and may be updated with 30 days' notice.

Payout schedule

Earnings are paid out on a monthly basis, subject to a minimum payout threshold published on the Creator Pricing page. Payments are processed via Stripe Connect. You must complete Stripe's identity verification requirements to receive payouts, and your use of Stripe Connect is also governed by Stripe's own connected-account terms.

Chargebacks, refunds & set-off

In cases of reader chargebacks or refunds approved under our reader refund policy, the corresponding amount (including any associated fees) will be deducted from your next payout. We may withhold or reserve payouts where we reasonably suspect fraud, a rights dispute, or an unusually high chargeback or refund rate. If deductions exceed your available balance, the negative balance will be carried forward and recovered from future earnings, or invoiced to you where future earnings are insufficient. Excessive chargeback rates may result in account review.

Taxes

You are solely responsible for determining and paying all taxes applicable to your earnings from ilmVault, including income tax, VAT, GST, or sales tax. Australian creators registered for GST are responsible for their own GST obligations on their sales. We will provide earnings reports and, where legally required, applicable tax forms. We may withhold amounts from payouts where required by law. We do not provide tax advice.

Subject to this Agreement, ilmMind grants you a limited, non-exclusive, non-transferable licence to access and use the Creator Portal, publishing tools, and analytics dashboard for the purpose of publishing and managing your content on ilmVault.

You may not: reverse-engineer, scrape, or attempt to extract data from ilmVault systems; use automated tools to upload content or interact with the platform outside of officially supported integrations; or resell or sublicense access to the Creator Portal to third parties.

We may modify, add, or remove platform features over time. Where a change materially reduces the core functionality available to you, we will give reasonable notice.

ilmMind processes published book content through AI systems to provide features to readers who have purchased the book. This includes:

• Indexing — chunking and embedding book content to power semantic search and the reading coach.
• Summary and insight generation — producing summaries, key ideas, and coaching responses based on book passages when readers interact with the reading coach.
• Recall cards — generating review questions from book content to support reader retention.

This AI processing is covered by the licence you grant in Content & rights. ilmMind does not use your published content to train foundation AI models, and does not authorise its AI service providers to do so. Processing is performed to serve verified purchasers of the book. The AI service providers we use from time to time are listed at ilmvault.ai/subprocessors.

We may provide you with aggregated or de-identified analytics about how readers engage with your books. We do not provide you with the text of individual readers' private highlights, notes, reflections, or AI conversations, and we do not identify individual readers to you except where a reader has clearly chosen to participate in an identified community, course, or organisational library and has been informed.

You agree not to attempt to re-identify any reader from analytics we provide, and to handle any personal information you do receive through the platform in compliance with applicable privacy law and our Privacy Policy.

All creator accounts are subject to review and approval by the ilmVault team. We may request additional information about you, your organisation, or the content you intend to publish as part of this review.

We reserve the right to approve or reject any creator application at our discretion, without being required to provide a reason. Approval of an application does not guarantee that all submitted content will be approved for publication.

If a rights holder believes content you have published infringes their rights, they may send a notice to [email protected] identifying the work, the location of the content, their contact details, and a good-faith statement that the use is unauthorised.

On receipt of a valid notice, we may remove or disable access to the content. We will make reasonable efforts to notify you, and you may submit a counter-notice if you believe the content was removed in error or you hold the necessary rights. We may restore content following a valid counter-notice unless we receive notice of legal proceedings.

We maintain a repeat-infringer policy: creators who repeatedly publish infringing content may have their accounts terminated.

You agree to indemnify, defend, and hold harmless ilmMind and its officers, directors, employees, and agents from and against any claims, demands, liabilities, damages, losses, and reasonable costs (including legal fees) arising out of or relating to:

• Content you publish or distribute through ilmVault;
• Your breach of this Agreement, including the warranties you make;
• Your infringement or alleged infringement of any third party's intellectual property, privacy, or other rights; or
• Your violation of any applicable law.

We will notify you of any such claim, allow you to control the defence (with counsel reasonably acceptable to us), and reasonably cooperate at your expense. You may not settle any claim in a way that imposes obligations or admissions on ilmMind without our prior written consent.

By you

You may close your creator account at any time by contacting [email protected]. Upon closure, your books will be de-listed from the Store. Books already purchased by readers will remain accessible to those readers under the reader licence. Any outstanding earnings above the minimum payout threshold will be disbursed in the next payout cycle, net of any chargebacks, refunds, or amounts owed.

We may suspend or permanently terminate your creator account, and remove your content from the Store, if you:

• Violate any provision of this Agreement or the general Terms of Service.
• Publish content that infringes third-party rights or violates applicable law.
• Engage in fraudulent activity, including manipulating reviews, sales data, or payout information.
• Are the subject of a valid copyright takedown notice or equivalent that we are required to honour.
• Pose a legal, reputational, or security risk to ilmMind or its users.

Where feasible, we will provide advance notice and an opportunity to cure the violation before termination. In cases of serious or repeated violations, we may act immediately without notice.

Survival

Provisions that by their nature should survive termination — including You retain ownership, the reader licence, Revenue & payouts (for amounts accrued or owed), Indemnification, Disclaimers, Limitation of liability, Governing law & disputes, and General — survive termination of this Agreement.

The ilmVault creator platform is provided “as is” and “as available” without warranties of any kind, express or implied. We do not warrant that the platform will be uninterrupted, error-free, or that any particular sales volume will be achieved.

ilmMind does not guarantee any minimum earnings or reader reach for published content. Sales performance depends on many factors outside our control, including reader demand, content quality, and market conditions.

Nothing in this Agreement excludes, restricts, or modifies any consumer guarantee, right, or remedy you may have under the Australian Consumer Law or other mandatory law that cannot lawfully be excluded.

To the maximum extent permitted by applicable law, ilmMind's total aggregate liability to you for any claim arising out of or relating to this Agreement shall not exceed the greater of: (a) the total platform commissions paid by ilmMind to you in the 12 months preceding the claim, or (b) USD $100.

In no event shall ilmMind be liable for indirect, incidental, special, consequential, or punitive damages — including lost profits, lost data, or loss of goodwill — even if advised of the possibility of such damages.

Where liability cannot lawfully be excluded but can be limited (including under the Australian Consumer Law), our liability is limited, at our option, to re-supplying the relevant service or paying the cost of having it re-supplied.

You and ilmMind are independent parties. Nothing in this Agreement creates any partnership, joint venture, agency, franchise, or employment relationship between you and ilmMind. You have no authority to bind ilmMind, and ilmMind has no authority to bind you.

You may not assign or transfer this Agreement without our prior written consent. We may assign or transfer this Agreement, in whole or in part, including in connection with a merger, acquisition, financing, reorganisation, or sale of assets. This Agreement binds and benefits the parties and their permitted successors and assigns.

This Agreement is governed by and construed in accordance with the laws of Victoria, Australia, without regard to conflict-of-law principles. The parties submit to the exclusive jurisdiction of the courts of Victoria and the courts competent to hear appeals from them. Nothing in this clause limits any non-excludable right you may have under mandatory consumer-protection law in your country of residence.

We may update this Agreement from time to time. We will notify you of material changes by email (to the address associated with your creator account) at least 30 days before the change takes effect. The “Last updated” date at the top of this page will reflect any changes.

Continued use of the creator platform after the effective date of a change constitutes your acceptance of the updated Agreement. If you do not agree with a change, you must close your creator account before the effective date.

This Agreement, together with the Terms of Service and Privacy Policy, is the entire agreement between you and ilmMind regarding the creator platform and supersedes any prior agreement on that subject. If any provision is found unenforceable, the remaining provisions continue in full force, and the unenforceable provision will be modified to the minimum extent necessary to make it enforceable. Our failure to enforce any provision is not a waiver of it. Neither party is liable for failure or delay caused by events beyond its reasonable control.
